**Exhibit C to the Master RaaS Agreement **
Effective date: 10/01/2026
1. Platform access
1.1 Licence. Subject to the Master RaaS Agreement, OLOSO grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform during the Term, solely to administer Customer’s own Equipment and to view Customer’s own operating records.
1.2 Accounts. Customer is responsible for creating, configuring and administering its own Platform user accounts and permissions, for the acts and omissions of its users, for keeping credentials confidential, and for removing access promptly when a user leaves. Credentials must not be shared.
1.3 Restrictions. Customer must not: permit access by any person other than its authorised users; use the Platform to administer equipment it does not rent from OLOSO; reverse engineer, decompile or attempt to derive source code, recipes, formulations, calibration parameters or dispensing logic; scrape, extract or systematically download data other than through the export functions provided; benchmark the Platform for or disclose performance information to a competitor; connect unauthorised systems or hardware; or circumvent any access control, rate limit, metering, reporting or food-safety function.
1.4 Suspension. OLOSO may suspend Platform access as provided in clause 17.3 of the Master RaaS Agreement, and may suspend or restrict access immediately where necessary to protect the security or integrity of the Platform.
2. Availability — no commitment
2.1 No uptime commitment. The Platform is provided “as is” and “as available”. OLOSO gives no uptime commitment, no availability target, no maintenance window commitment and no service credit. OLOSO and TEDIA may perform maintenance, and may modify, suspend, restrict or discontinue the Platform or any feature of it, at any time.
2.2 Offline operation. The Equipment is designed to continue producing beverages while disconnected from the Platform, using the recipes, cleaning rules and configuration already synchronised to it. Following initial deployment and first synchronisation, the Equipment does not require a continuous connection in order to operate.
2.3 Offline limit. The Platform enforces a maximum period of offline operation, presently up to thirty (30) days, after which the Equipment must reconnect and synchronise before further production. A shorter limit may be configured. Customer is responsible for providing network connectivity sufficient to allow synchronisation within the applicable limit. Inability to produce because the Equipment has exceeded the offline limit is not a fault of the Equipment or the Platform, and does not entitle Customer to any credit, abatement or remedy.
2.4 Offline records. Production and transaction records created while offline are stored locally and uploaded when connectivity is restored. OLOSO does not warrant that records created while offline will be complete, accurate, recoverable or successfully uploaded, and is not liable for any loss of such records.
2.5 Platform outage. Where the Platform is unavailable, Equipment holding current configuration continues to operate as described in clause 2.2. Platform unavailability, of any duration, does not suspend, reduce or abate any payment obligation and does not give rise to any liability of OLOSO.
3. Updates and changes
3.1 Software and firmware. Equipment software and firmware updates are released by TEDIA. OLOSO may install, push or require the installation of updates. Customer consents to the installation of updates and must not refuse, defer, block or reverse an update, or operate the Equipment on a superseded version, where OLOSO instructs otherwise.
3.2 Recipes and configuration. Recipes, product configuration and operating rules are maintained and published through the Platform. Where recipes are published to the Equipment, the Equipment must be online to receive them, and a published recipe may be applied without the option to defer. The Platform supports reverting a recipe template to a previous version.
3.3 Effect of updates. An update may change, add, remove, restrict or disable a feature, behaviour, recipe or configuration. OLOSO does not warrant that any feature will remain available, and is not liable for any consequence of an update, including loss of a feature, change in behaviour, incompatibility, downtime during installation, or the need to re-train staff. Where OLOSO becomes aware that an update will remove a documented feature on which Customer materially relies, OLOSO will use reasonable efforts to give advance notice.
3.4 Records. The Platform retains version and operation records for updates and configuration changes.
4. Remote operation and control
4.1 Capabilities. Customer acknowledges that the Platform provides remote capabilities in respect of the Equipment, which may include: publishing recipes and configuration; applying and enforcing cleaning and maintenance rules; restricting or suspending connectivity and data synchronisation; retrieving diagnostic, production, inventory and cleaning records; and locking or disabling the Equipment.
4.2 Consent. Customer consents to the exercise of those capabilities by OLOSO and TEDIA for the purposes of operating, supporting, maintaining and securing the Equipment and the Platform, enforcing food-safety and cleaning requirements, and exercising OLOSO’s remedies under clause 17.3 of the Master RaaS Agreement.
4.3 Effect of disconnection. A remote instruction is delivered only when the Equipment is connected. An instruction issued while the Equipment is offline is not received at that time and may be applied when connectivity is restored, subject to its validity period and to any subsequent instruction. OLOSO is not liable for any delay in, or failure of, delivery or application of a remote instruction.
5. Records and logging
5.1 Cleaning and food-safety records. The Equipment records each cleaning cycle, including task, method, start and end times and duration. Recent records are available on the Equipment, and consolidated records are available through the Platform for export over a rolling period presently of three (3) months.
5.2 Operational logs. The Platform retains access and operation logs. Retention is subject to change and may be tiered by age.
5.3 Customer’s own retention. Customer is responsible for exporting and retaining any record it requires for its own food-safety, regulatory, insurance, audit or evidentiary purposes, within the periods during which those records remain available. OLOSO does not undertake to retain any record for any particular period and is not liable for the unavailability of a record.
5.4 Regulatory requests. If OLOSO receives a request from a public health, food-safety or other regulatory authority, or a legal process, for records relating to Customer’s Equipment, OLOSO may comply. OLOSO will use reasonable efforts to notify Customer in advance where it is lawful and practicable to do so, but is not obliged to resist, delay or narrow the request, and is not liable for having complied.
6. Security
6.1 Measures. OLOSO and TEDIA maintain access controls limiting database-level access to designated authorised technical personnel, role-based permissions within the customer-facing administration console, access logging, signed communication between the Equipment and the Platform, and encryption of sensitive data at rest and in transit.
6.2 No certification claim. OLOSO makes no representation that the Platform is certified under, or audited against, any particular security standard or framework.
6.3 Access by affiliates. Customer acknowledges that authorised technical personnel of TEDIA, including personnel located outside the United States, may access the Platform and Customer’s operating records for support, maintenance, troubleshooting and analysis purposes, as described in clause 13.5 of the Master RaaS Agreement.
6.4 Incidents. OLOSO will notify Customer of a security incident affecting Customer’s data without undue delay after OLOSO has confirmed the incident and assessed its scope. No fixed notification period applies unless a data processing addendum executed between the parties specifies one.
7. Support
7.1 Support access. Customer may submit service requests through OLOSO’s online support channel at any time. This is access to a request channel. It is not a commitment that a person will be available, that a request will be acknowledged, diagnosed or resolved within any period, or that on-site service will be provided or scheduled within any period.
7.2 No service levels. There is no response time, on-site response time, service radius, restoration time, uptime target or service credit under this Agreement. Requests are handled during OLOSO’s applicable business and support hours, and prioritised at OLOSO’s discretion.
7.3 Process. OLOSO’s usual process is: submission of a request identifying the Venue and the fault, with photographs or video; remote diagnosis, which may include instructions to power-cycle, recalibrate or report error codes; determination of the appropriate remedy; supply or replacement of parts; where on-site attendance is determined to be necessary, scheduling subject to clause 7.2; verification by test dispense; and completion of a service record. This description is provided for information and does not create any obligation as to timing or outcome.
7.4 Customer cooperation. Customer must provide safe and timely access to the Venue and the Equipment, provide requested information, photographs and error codes, follow remote instructions, make staff available, and maintain the site requirements in Exhibit A. Delay or cost caused by Customer’s failure to cooperate, by an unprepared site, or by a return visit, is chargeable to Customer.
7.5 Chargeable work. Work required as a result of any cause excluded under Exhibit E, including misuse, inadequate cleaning, out-of-specification water or utilities, unapproved ingredients or Consumables, unauthorised modification, relocation or third-party repair, is chargeable at OLOSO’s then-current rates, together with parts, travel and labour.
8. General
This Exhibit forms part of the Master RaaS Agreement. Defined terms have the meanings given there. In the event of conflict between this Exhibit and clauses 11 or 12 of the Master RaaS Agreement, this Exhibit prevails in respect of the Platform and support. Governing law, dispute resolution, limitation of liability and indemnities are as stated in the Master RaaS Agreement, and nothing in this Exhibit increases OLOSO’s liability beyond the cap in clause 19.2 of that Agreement. The English-language version controls.
